Draft for launch. Items in [square brackets] are filled in before the site goes live. This page is not a substitute for legal advice.
These terms explain how projects with ELMFOLD ([LEGAL NAME], Southampton, Hampshire, UK) work. Every project also gets a written proposal with its scope, timeline and price; if the proposal and these terms ever disagree, the proposal wins.
1. The plan and the proposal
The free project plan is an estimate, not a quote. A project starts when you accept a written proposal and pay the booking deposit. The proposal fixes the scope, timeline and price.
2. Payment
- 50% to book your slot, 25% when you approve the design, 25% at launch. Projects under £5,000: 50% to book, 50% at launch. Care plans are priced weekly and billed monthly in advance.
- Invoices are in pounds sterling or US dollars, as agreed, payable within 7 days. The price is the one in your written proposal.
- The booking deposit reserves one of three slots and is non-refundable once work has started.
3. Design approval and changes
Two full rounds of design changes are included. Nothing is built until you approve the design in writing. Changes after approval, or work outside the agreed scope, are quoted separately before they start, so there are never surprise invoices.
4. Your content and your timeline
Timelines assume you provide content, decisions and approvals when they are needed. If something is delayed on your side, the timeline moves by the same amount and your slot may be rescheduled.
5. Launch and the 30 days after
For 30 days after launch I fix anything that doesn’t work as agreed, at no charge. New features, content changes and third-party changes are not fixes; they are care-plan work or a new quote.
6. Ownership
On final payment, the design, code and content I created for you are yours. I keep the right to show the work in my portfolio unless we agree otherwise. Third-party tools (Shopify, fonts, stock, plugins) stay under their own licences.
7. Care plans
Care plans run month to month and can be cancelled with one month’s written notice. Unused improvement hours roll over for one month.
8. Liability
I will do the work with reasonable skill and care. I am not liable for loss of profit, loss of data caused by third parties, or indirect losses, and my total liability for any project is limited to the fees paid for it. Nothing here limits liability that cannot be limited by law.
9. Ending a project
Either of us can end a project in writing. You pay for work completed to that point; I hand over what has been completed and paid for.
10. Law
These terms are governed by the law of England and Wales. For clients in the United States, we agree the same, and to resolve any dispute by good-faith discussion first.
